Terms of Service

1. Acceptance of Terms

By accessing or using Soqqet's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

2. Description of Services

Soqqet is a Software-as-a-Service (SaaS) platform for transactional notifications. The Services enable Customers to:

  • Configure notification workflows triggered by events (orders, appointments, account changes)
  • Deliver notifications across messaging channels: WhatsApp Business API, Telegram, SMS, Email, and self-hosted WhatsApp connectors
  • Track delivery status, recipient responses, and consent events
  • Manage contact lists, blocklists, and per-tenant data segregation
  • Integrate notifications with third-party systems via API and webhooks

The Services are designed for transactional and operational use cases. Marketing campaigns, bulk promotional outreach, and unsolicited messaging are explicitly prohibited (see Section 4).

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old or have the legal authority to enter into these Terms on behalf of an organization
  • One person or entity may not maintain more than one account without prior approval

4. Acceptable Use

Use of the Services is governed by this section and the separate Acceptable Use Policy (AUP), which is incorporated into these Terms by reference.

You agree not to use Soqqet to:

Content restrictions:

  • Send marketing, promotional, or advertising content
  • Send messages to recipients without valid, documented opt-in consent
  • Distribute malware, phishing content, or fraudulent communications
  • Promote illegal goods, services, or activities
  • Harass, threaten, intimidate, or abuse any individual or group
  • Send hate speech or content inciting violence
  • Send content related to gambling, adult services, regulated pharmaceuticals, or financial advice without explicit Soqqet authorization

Operational restrictions:

  • Use Soqqet for cold outreach, lead generation, or unsolicited contact
  • Resell access to the Services without authorization
  • Resell telecom connectivity or present Soqqet as a carrier
  • Circumvent or modify channel-side rate limits, content policies, or compliance controls
  • Use the Services in ways that violate WhatsApp, Telegram, or SMS carrier policies

Technical restrictions:

  • Reverse engineer, decompile, or extract source code of the platform
  • Probe, scan, or attempt to penetrate Soqqet infrastructure
  • Use the Services to send messages through unofficial automation tools not provided or sanctioned by Soqqet
  • Aggregate data from the platform for resale or competitive analysis

Consequences:

Violation may result in immediate suspension of affected workflows, temporary or permanent account suspension, termination of the Agreement without refund, or reporting to law enforcement when required by law.

5. Customer Obligations

5.1 Data Controller Status

You are the Data Controller for personal data processed through Soqqet. You are responsible for:

  • Establishing valid legal basis for processing recipient data (Article 6 GDPR)
  • Obtaining and documenting valid opt-in consent for transactional notifications
  • Maintaining records of consent (timestamp, source, IP if applicable)
  • Honoring opt-out requests across all your communications
  • Handling data subject requests from recipients
  • Notifying recipients of relevant privacy practices

5.2 Content Moderation

You are responsible for the legality, accuracy, and appropriateness of all content sent through Soqqet. We may, but are not obligated to, review templates and content for compliance with our AUP.

5.3 Channel Compliance

You acknowledge that:

  • WhatsApp Business API requires Meta-approved templates for outbound messages
  • Telegram Bot API has its own usage policies
  • SMS in different jurisdictions has different consent and content requirements
  • Self-hosted WhatsApp connectors (WAHA) operate outside official WhatsApp Terms of Service and may result in account suspension by Meta. Use of WAHA is at Customer's sole risk (see Section 5.4).

5.4 Self-Hosted WhatsApp Connectors (WAHA)

Soqqet's WAHA integration is provided as a self-hosted option for advanced users. By enabling the WAHA connector, you acknowledge:

  • WAHA uses unofficial WhatsApp Web automation
  • This may violate WhatsApp's Terms of Service
  • Your WhatsApp account may be suspended by Meta at their discretion
  • Soqqet does not host the WAHA instance — it runs on your infrastructure
  • Soqqet is not liable for any consequences of WAHA usage
  • For production business communication, we recommend WhatsApp Business API via Twilio or another Meta-approved BSP

6. Pricing & Payments

6.1 Subscription Plans

Soqqet offers fixed-price subscription plans based on monthly workflow run volume. Current plans:

  • Starter: €39/month, 1,000 workflow runs
  • Professional: €99/month, 5,000 workflow runs
  • Business: €299/month, 20,000 workflow runs

6.2 Workflow Run Definition

A workflow run is a single execution of a notification flow, from trigger to final delivery state. The same workflow attempting multiple channels (cascade routing) counts as one run regardless of channel attempts.

6.3 Channel Pass-through Costs

Some channels incur direct costs from upstream providers:

  • WhatsApp Business API: passed through at provider cost (no markup)
  • SMS via Twilio or other carriers: passed through at provider cost
  • Telegram Bot API: free
  • Self-hosted WAHA: free (Customer infrastructure)

Pass-through charges appear as separate line items on monthly invoices.

6.4 Overage

If you exceed your plan's workflow run limit, workflows continue to execute uninterrupted. Overage is billed at the per-run rate of your current plan. We notify you when you reach 80% and 100% of your plan limit.

6.5 Payment Processing

Payments are processed by our authorized Merchant of Record (MoR) partner. Soqqet does not directly handle credit card information. See Section 14 for details.

6.6 Refunds

Subscriptions are non-refundable except where required by law. Pro-rated refunds may be issued for unused portions of annual plans upon early cancellation, at our discretion.

6.7 Pricing Changes

We may change pricing with 30 days' written notice. Existing customers on annual plans retain their pricing until renewal.

7. Account Termination

Either party may terminate the agreement at any time. You may cancel your account from the dashboard or by contacting support. We may suspend or terminate accounts that violate these Terms. Upon termination, your data will be deleted within 90 days.

8. Disclaimers and Warranties

We strive to maintain high uptime but do not guarantee uninterrupted service. Messaging delivery depends on third-party channels (WhatsApp, Telegram, SMS carriers) which are outside our control. We are not liable for delivery failures caused by third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Soqqet shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services, including lost profits, data loss, or business interruption.

10. Indemnification

Soqqet and its logo, design, and content are protected by intellectual property laws. You may not copy, modify, or distribute our platform or branding without written permission. Content you create and send through our platform remains yours.

11. Modifications

We may update these Terms from time to time. Continued use of our Services after changes constitutes acceptance of the revised Terms. We will notify users of material changes via email or platform notice.

13. Governing Law

These Terms shall be governed by the laws applicable to the Operator's place of residence at the time of dispute. Customers may also rely on mandatory consumer protection laws of their own jurisdiction where applicable.

14. Merchant of Record

Payments for Soqqet subscriptions are processed by our authorized Merchant of Record (MoR) partner. The MoR is the seller of record on your invoice, handles VAT/sales tax remittance globally, and manages payment disputes. Your invoice will show the MoR as the merchant. This does not affect your service relationship with Soqqet, governed by these Terms. The current MoR partner is disclosed at checkout and on invoices once onboarding is complete.
